Welcome to Take App, a commerce platform provided by Take App Pte Ltd ("Take App"). By signing up for a Take App Account, you are agreeing to these Terms of Service. Please read them carefully.

1. Store Owner

1.1 Account Responsibility

When you create an Account on Take App, you become the contracting party ("Store Owner") for the services provided. You are authorized to use the Account and must ensure your store's website displays your accurate name (including legal company name if applicable).

1.2 Signing Up on Behalf of Employer

If you're signing up on behalf of your employer, your employer is considered the Store Owner. You must use your employer-issued email and confirm your authority to bind your employer to these Terms.

2. Domain Names

When you purchase a domain name through Take App, automatic yearly domain registration renewal is enabled as long as your Take App account is active. You can disable auto-renewal if desired.

3. Take App’s Rights

Take App offers various features under specific conditions. We reserve the right to remove or reject products and services. Verbal or written abuse towards Take App personnel may result in immediate Account termination. We may request documentation to settle disputes over account ownership, with sole authority to determine ownership.

4. Seller’s Responsibilities

4.1 Fulfillment and Store Information

You agree to provide contact information, refund policy, and order fulfillment details on your Take App Store. Services are not a marketplace. Sales contracts through the Services are directly between you and your customers. You are the seller for all items sold. You are responsible for store operation, product accuracy, transaction handling, legal compliance, and any violations of applicable laws.

4.2 Compliance and Legal Responsibility

You are solely responsible for the content, goods, or services you offer, including ensuring their alignment with applicable laws and regulations. Using Take App services for illegal purposes is strictly prohibited. Examples of such prohibited activities, while not exhaustive, include:

  • False or Misleading Representations: Presenting inaccurate or deceptive information about your offerings.

  • Counterfeit or Unauthorized Goods: Selling counterfeit, pirated, or unauthorized products.

  • Deceptive Schemes: Engaging in phishing, scamming, or any form of fraudulent activity.

  • Forgery and Identity Theft: Impersonating others, forging documents, or engaging in identity theft.

  • Unlawful Activities: Involvement in hacking, malware distribution, or unauthorized access.

  • Content Violations: Sharing content that breaches laws, regulations, or third-party rights.

4.3 API Usage

Use Take App API following our fair use guideline. You are responsible for secure API use with your credentials.

5. Payment of Fees and Taxes

5.1 Payment Method

To ensure seamless service, keep a valid payment method (such as a credit card) on file. This payment method will be used for all service fees, including subscription, transaction, and additional fees applicable to all stores.

5.2 Subscription Fees

Subscription fees will be billed monthly or annually, depending on your chosen plan.

5.3 Transaction and Additional Fees

Any incurred transaction or additional fees will be charged to your designated payment method. In case we encounter difficulty processing the fee payment initially, we may attempt subsequent charges using the same method. If, within 28 days from our initial charge attempt, payment remains unsuccessful, Take App reserves the right to temporarily freeze your store's activities.

5.4 Tax Responsibility

You hold the responsibility for any taxes associated with your Store's operations or your use of our Services. Depending on regulations, you might need to remit taxes either to Take App or directly to your local tax authority.

5.5 Refund Policy

Take App does not provide refunds.

6. Confidentiality

Both Take App and you, the Store Owner, mutually agree to utilize any Confidential Information belonging to the other party solely for the purpose of fulfilling the obligations outlined in these Terms of Service. It is imperative that any Confidential Information is treated with the utmost care, ensuring its protection and respect throughout our business relationship.

7. Limitation of Liability and Indemnification

Take App shall not bear responsibility for any damages or legal actions that emerge in the event of your non-compliance with the law, violation of this agreement, or infringement upon the rights of any third party. The provision of our Service is offered on an "as is" and "as available" basis. We do not extend any warranties, and our liability is constrained should errors or interruptions arise.

Through your utilization of our Service, you hereby agree to indemnify and hold Take App harmless from any claims, losses, liabilities, or damages arising due to your actions, breaches of this agreement, or any harm inflicted on third parties. This indemnification encompasses situations involving errors or interruptions that might transpire while employing our Service.

8. Intellectual Property and Your Materials

We respect your ownership rights and responsibilities regarding any content you upload. Any content that belongs to you remains under your ownership and is your responsibility. However, by using Take App's platform, you grant us a license to utilize and publish the content you upload.

While the ownership and responsibility for the materials you upload remain with you as the initial owner, you provide Take App with a license to use the materials published through our platform. This license enables us to effectively operate and promote our Services.

9. Third Party Services

Take App is not responsible for third party services, so use them at your own risk. If you choose to use Third Party Services on the Take App platform, you consent to us sharing your data (and potentially the data of your Customers) to those services. Take App requires merchants consent to transfer balances in third-party payment services. If you use Third Party Services you agree that we do not provide a warranty, so get advice beforehand.

10. Feedback and Reviews

We welcome customer feedback but are under no obligation to ensure that ideas and suggestions regarding our Services or the services of third parties remain confidential and we can use the feedback in any way we want.

11. Privacy Policy

Personal information use is governed by our Privacy Policy https://www.take.app/policy.

12. Term and Termination

To initiate termination proceedings, exercise the option to cancel via the administrative dashboard or engage our support team at https://take.app/support. Take App will respond with specific information regarding the termination process for your account. Once termination is confirmed, domains purchased through Take App will no longer be automatically renewed.

Upon termination of the Services by either party for any reason:

  • Take App will cease providing you with the Services

  • unless otherwise provided in the Terms of Service, you will not be entitled to any refunds of any Fees, pro rata or otherwise;

  • any outstanding balance owed to Take App for your use of the Services through the effective date of such termination will immediately become due and payable in full; and

  • Your Take App Store shall be deactivated or modified as free plan
